Undisk MCP is currently operated by Kiarash Adl, a Texas resident using the Undisk MCP business name.

If we later designate a successor entity in writing, references to Undisk MCP, “we,” “us,” or “our” include that successor for periods after the designation becomes effective.

# Nature of the service

Undisk is infrastructure for remote, versioned file workspaces used by AI agents and related human users. It is not legal advice, compliance certification, or a guarantee that any workflow, output, or AI deployment is lawful, safe, accurate, or fit for any specific purpose.

# Eligibility and authority

You represent that you are legally able to enter into these terms, are old enough to use online services where you live, and have authority to bind yourself and any entity you represent.

# Accounts and credentials

You are responsible for account accuracy, credential confidentiality, all activity under your credentials, and immediate rotation or revocation if compromise is suspected.

# Limited right to use

Your access is limited, revocable, non-exclusive, non-transferable, and non-sublicensable. This is a permission to access the service, not a sale or open-source license.

# Intellectual property

All rights reserved. Undisk and its software, interfaces, documentation, site copy, workflows, and underlying architecture are proprietary.

Except where we expressly allow it in writing, you may not copy, modify, publish, distribute, sublicense, sell, reverse engineer, or extract the underlying architecture of the service.

# Your content

You own your content. What belongs to you stays yours. Undisk does not claim ownership of any text, data, or files you upload, store, or share.

Files are private by default. Your workspace files are accessible only to you and the agents you authorize. We will not make your private files public without your explicit action.

Why we need a license. By using the service, you grant Undisk a limited, worldwide, royalty-free license to host, store, reproduce, back up, and version your content — strictly for the purpose of operating, maintaining, and improving the service (e.g., copying files to backup storage, creating version snapshots, or displaying content in the file browser you access).

# Acceptable use

1. No reverse engineering, decompilation, decoding, or architectural extraction.

2. No abusive automation, excessive scraping, probing, replication, or competitive harvesting.

3. No bypassing authentication, rate limits, workspace boundaries, billing controls, or provider routing.

4. No unlawful, infringing, harmful, malicious, or rights-violating use.

5. No use in safety-critical, medical, weapons, emergency, or other high-risk contexts.

6. No credential sharing outside authorized organizational use.

# Artificial intelligence and machine learning

We do not use your file content to train third-party AI or large language models.

We do not use your file content to train our own general-purpose AI models.

We do not sell, license, or provide your content to any third party for AI training.

We use AI solely for content moderation (safety scanning uploaded files). This processing does not store, learn from, or feed your content into any model's training pipeline.

# Data portability

You may retrieve, download, or export your files at any time using the MCP tools or the web file browser. We do not artificially restrict your ability to leave. If you stop using the service, your files remain available until you delete them or your account is terminated.

# Policies, limits, and enforcement

The service may enforce path rules, file-size limits, rate caps, workspace limits, secret scanning, anomaly detection, plan limits, and scope restrictions. We may change or tighten controls, features, or limits at any time to protect the service, users, or our rights.

# Billing and paid plans

Merchant of record. Paid features may be billed through Polar or another payment processor acting as merchant of record.

Renewals and taxes. Unless a plan, order form, or checkout page states otherwise, paid subscriptions automatically renew until canceled. You are responsible for applicable taxes, duties, bank fees, and foreign exchange charges unless the charge is expressly stated to include them.

Failed payments and refunds. If payment fails, is reversed, or is disputed, we may retry payment, apply a grace period, downgrade features, suspend access, or terminate the service. Refunds may be granted case by case in our discretion unless law requires otherwise.

# Support and SLA boundaries

Standard support is provided on a best-effort basis only. Dedicated support, service-level agreements, service credits, security addenda, data processing agreements, or other custom commitments apply only if they are expressly set out in a separate signed enterprise agreement or order form.

# Third-party services

The service may rely on third-party providers for infrastructure, identity, billing, logging, and storage. Those providers may impose their own terms and privacy practices.

# No warranties

To the maximum extent permitted by law, the service is provided "as is," "as available," and with all faults. We disclaim all express, implied, statutory, and other warranties, including merchantability, fitness for a particular purpose, non-infringement, uptime, accuracy, security, availability, and results.

# Assumption of risk

You are responsible for validating agent behavior, maintaining your own compliance posture, and deciding whether the service is appropriate for your use case and data.

# Limitation of liability

To the maximum extent permitted by law, we will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, use, data, or business interruption.

Our total aggregate liability for all claims will not exceed the amount you paid for the service in the 12 months before the claim, or, if you paid nothing, US$0, to the maximum extent permitted by law.

# Indemnification

You will defend, indemnify, and hold harmless Undisk MCP and Kiarash Adl from claims arising from your content, your use of the service, your breach of the terms, your legal violations, or use through your credentials or agents.

# Suspension, termination, and survival

Suspension and termination. We may suspend or terminate access for abuse, fraud, security risk, nonpayment, or breach. Whenever reasonably possible, we will provide advance notice, the reason for the action, and a chance to fix the issue before suspending your account.

Exceptions: we may act immediately without notice if notifying you would cause legal liability, compromise an investigation, or harm the security of the service or other users.

# Changes to the service or terms

1. If we make a material change to these terms, we will use reasonable efforts to provide advance notice by email, in-product notice, or both.

2. If a change is non-material, we may update the terms by posting the revised version with a new effective date.

3. Continued use after updated terms become effective constitutes acceptance of the updated terms.

4. If you do not agree, you must stop using the service and cancel any paid plan before the updated terms take effect.

# Binding arbitration and class action waiver

To the maximum extent permitted by law, disputes relating to these terms or the service will be resolved by binding individual arbitration rather than in court, except for qualifying small-claims matters, requests for injunctive or equitable relief related to intellectual property, scraping, confidentiality, security misuse, or unauthorized access, and actions needed to compel or enforce arbitration.

Arbitration will be administered by the American Arbitration Association under its applicable rules. Unless the parties agree otherwise or applicable law requires another forum, arbitration will be conducted in English, remotely or in Texas, and the Federal Arbitration Act governs this section.

You and Undisk waive any right to participate in a class, collective, consolidated, coordinated, or representative action or arbitration to the maximum extent permitted by law.

# Governing law

These terms are governed by Texas law, without regard to conflict-of-laws rules, except that the Federal Arbitration Act governs the arbitration section.

# Assignment and successor operator

We may assign or transfer these terms, or delegate our rights and obligations, to an affiliate, successor, purchaser of the service, or later-designated operating entity. We will use reasonable efforts to provide notice of material transfers.

# Entire agreement; severability; no waiver

These terms, together with incorporated policies or written order forms we provide, are the entire agreement between you and us regarding the service. If any provision is unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver.
